Terms of Service

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and Stitles LLC, a Delaware limited liability company ("Stitles", "we", "us"), governing your access to and use of the Stitles website, applications, and services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms.

2. The Service

Stitles is a platform for producing subtitles, translations, voice-overs, and related media deliverables for video content. The Service allows you to upload video files (or link external video URLs), have the platform assist with transcription, translation, and voice-over generation, and export the resulting deliverables.

Certain features of the Service rely on artificial intelligence models (including third-party models). AI outputs may contain errors. You are responsible for reviewing all outputs before using them in production.

3. Accounts

You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate information and keep it current. We may suspend or terminate accounts that violate these Terms or that pose a risk to the Service or to other users.

4. Payments and billing

Paid features of the Service are billed on a per-order basis and charged at the time of order confirmation. Prices are shown before you confirm the order. Card payments are processed by Stripe; your card information is handled by Stripe and never stored on our servers.

Orders are non-refundable once processing has begun. If a technical failure on our side prevents an order from being fulfilled, we will either re-run the order at no additional cost or issue a refund at our discretion. Requests for refunds outside of these cases can be sent to info@stitles.com and will be reviewed on a case-by-case basis.

5. Your content

You retain all rights to the video files, transcripts, translations, and other content you upload or generate through the Service ("Your Content"). By using the Service, you grant Stitles a limited, non-exclusive, worldwide license to store, process, transmit, and display Your Content solely to operate and improve the Service and deliver the outputs you request.

You represent that you own or have all necessary rights to Your Content and that Your Content does not infringe any third party's rights and complies with applicable law.

6. Acceptable use

You agree not to use the Service to:

• upload content that is unlawful, defamatory, obscene, or infringes intellectual property rights;
• process content depicting minors in a sexual context or content that promotes violence, terrorism, or self-harm;
• circumvent, disable, or interfere with security-related features of the Service;
• scrape, reverse-engineer, or attempt to derive the source code of the Service;
• use the Service to build a competing product;
• resell or sublicense the Service without a written agreement with us.

7. Our intellectual property

The Service, including its software, interface, branding, and documentation, is owned by Stitles LLC and its licensors. Except for the rights expressly granted in these Terms, we reserve all rights in and to the Service.

8. Third-party services

The Service relies on third-party providers to function, including but not limited to Stripe (payments), Supabase (database and authentication), Cloudflare R2 (storage), Vercel (hosting), Google (AI processing), Microsoft Azure (speech synthesis), and Modal (compute). Your use of the Service is also subject to the terms of these providers where applicable.

9. Termination

You may close your account at any time by contacting us. We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms or if we are required to do so by law. Upon termination, we will delete Your Content in accordance with our Privacy Policy and applicable retention obligations.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate for your use case.

11. Limitation of liability

To the maximum extent permitted by law, Stitles LLC, its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater.

12. Indemnification

You agree to defend, indemnify, and hold harmless Stitles LLC and its affiliates from any claim, damages, liability, or expense (including reasonable attorneys' fees) arising out of Your Content, your use of the Service, or your breach of these Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.

14. Changes

We may update these Terms from time to time. Material changes will be announced by updating the effective date above and, where appropriate, by notice to your account email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
